1. Acceptance

By accessing the Brickell Wallstreet Asset Vault™ platform or opening a file, you agree to these Terms. If you use the platform for an entity, you represent that you are authorized to bind that entity.

2. Not a bank; no deposits

Brickell Wallstreet is a private asset-backed credit platform. It is not a bank, does not accept deposits, and is not FDIC insured. Nothing on the platform is an offer or commitment to lend, or an offer to sell securities.

3. Eligibility and onboarding

Accounts require identity verification, KYC/AML and sanctions screening, and supporting documentation. We may decline, suspend, or close any account or application at our discretion or as required by law.

4. Asset Vault Credit™

Under Asset Vault Credit™, you pledge qualifying assets and, if approved, receive a revolving line of credit. Pledged collateral does not earn a return. Interest accrues only on amounts actually drawn, calculated on the average daily balance, plus any applicable fees. Advance rates, valuations, and figures displayed in the platform are illustrative until confirmed in executed loan documents.

5. Asset Vault Income™

Asset Vault Income™ is a separate offering under which assets are held in a qualifying program and the customer may receive a return under the applicable program terms. It is governed by its own agreements, eligibility criteria, and disclosures, which control in the event of any conflict with these Terms. Participation does not guarantee any return, and any availability of funds is subject to separately structured facilities.

6. Pricing

Illustrative pricing ranges are published on the platform and may include an origination fee, annual facility fee, and unused commitment fee. Final pricing is set at underwriting and stated in your facility documents, which govern.

7. Collateral, margin, and default

You represent that you own pledged assets free of undisclosed liens and will cooperate with custody, perfection, insurance, and monitoring requirements. If collateral value declines below required coverage, you may be required to post additional collateral or repay amounts drawn. Failure to cure, misrepresentation, or other events of default may permit acceleration and enforcement against collateral, including sale.

8. Asset Vault Card™

Card spending draws against your approved facility and is subject to available credit, controls, and the card agreement issued at activation. You are responsible for all authorized use and must promptly report loss, theft, or unauthorized transactions.

9. Electronic transfers and communications

You authorize ACH and wire instructions you submit through the platform and consent to receive agreements, statements, and notices electronically.

10. Acceptable use

Do not misuse the platform, attempt unauthorized access, submit false or altered documents, or use the platform for unlawful purposes, including money laundering or sanctions evasion.

11. Risk disclosure

Borrowing against pledged assets involves risk, including loss of the pledged assets, adverse tax consequences, and interest costs that may exceed asset appreciation. Consider seeking independent legal, tax, and financial advice.

12. Disclaimers and limitation of liability

The platform is provided “as is” without warranties of any kind. To the maximum extent permitted by law, Brickell Wallstreet is not liable for indirect, incidental, special, or consequential damages, and total liability is limited to fees you paid in the twelve months preceding the claim.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida, unless your facility documents provide otherwise.
